Payment
They calclulate payment of all hosts on the 10th day of each month.
They then send payment to all hosts that have accumulated more than $30.
If $30 is not yet due, the balance is added to the next month.
Real-time reporting
As a ValueClick Host site, you will have a unique user name and password that will allow you access into our on-line reporting system. When you are logged into the system you will be able see a real-time accounting of exactly how many people have seen our advertisers' banners on your pages, how many have clicked through from them, and most important, how much money you have earned. You can also exclude any of the advertisers' banners from your site if you so desire.
Terms and Conditions
(The boring stuff, but you must agree with it)
The ValueClick Network offers representation only to high
quality Internet websites. Membership as a ValueClick host site is
exclusive and is only offered to professionally designed, content
websites. Not all websites are accepted into our network. Those
that are accepted are entering into a business relationship with
ValueClick and are agreeing to the terms and conditions set forth
herein.
PAYMENT:
Unique Visitors. A "unique visitor" is defined as a maximum of
one visit from any IP address per six-hour period to each
sponsor's website. Host sites will be paid for unique visitors only.
The 10th day of each month, ValueClick will total all
accumulated click throughs for each host. An email will be
automatically sent to each host that is due payment, notifying the
host of the amount of check to be sent. Checks will be processed
and sent via postal mail within 2 business days.
Payments: ValueClick will pay host site between six and twelve
cents per unique click through, based on traffic levels. All hosts
are paid once a month. No checks will be disbursed for an
amount less than $30. If the money owed to the host is less than
$30, the amount will be added to the next month's total.
Payment Limit: Once approved, you are automatically qualified
to receive up to $5,000 per month in payments. If you feel that
your site may generate more traffic, please contact
tech-support@valueclick.com to arrange a payment-limit
increase.
We reserve the right to withhold payment to any host site that
exhibits questionable click-through activity. We have
developed advanced software to monitor all host sites and
highlight those of questionable activity.
BANNER PLACEMENT RULES:
Banner Ad Space Location. While the ValueClick banner
being the sole banner on the upper third of the page is preferred
and has been proven to increase click through rates, the host site
has option of placement. However, the ValueClick banner may
not be grouped together with multiple banners on the same page.
The ValueClick banner may not be placed on pages that contain
no content. The ValueClick code can not be used on websites or
domains that have not been approved.
Exclusion of banners. The host site is provided with an online
tool that allows the exclusion of any banner which host deems
somehow inappropriate for their particular site.
Multiple Pages. The host site may place the ValueClick code
on all appropriate pages with their website.
Code Integrity. You may not alter ValueClick insertion code
except for placement purposes.
Banner Statements. Making statements near the ValueClick
banner requesting that your visitors "click" on the banner is not
allowed. Host sites may only use one of the following terms
verbatim:

Approved Websites: Host agrees to only place banner code on
websites that have been pre-approved by ValueClick. To add
websites/domains to your account, please contact
tech-support@valueclick.com.
FRAUDULENT ACTIVITY:
We have developed the most highly advanced anti-fraud
software to date. If you are joining our network with the intent
to fraudulently generate click throughs, please be advised that
our software will report this activity to us. Fraudulent activity
may result in non-payment, removal from the network, and
legal action.
Automated and forced click throughs: Autospawning of
browsers, automatic redirecting of users, or any other technique
of generating automated click-throughs is strictly prohibited. It is
also prohibited to require users to click on the advertisers banner
before entering any area of you website.
Spam. You may not use unsolicited email or inappropriate
newsgroup postings to promote your website. You may not
encourage others to click on our advertisers banners in any way
including, email, newsgroup postings, and chat sites.
Banner Statements. Making statements on your website
requesting that your visitors "click" on the banner is not allowed.

TERMS:
Right of Refusal. ValueClick may refuse at any time to include
any website as a host in the network that is found to be
inappropriate, based on ValueClick's sole discretion. Websites
that will not be accepted as host sites include, but are not limited
to:
Sex (Nudity, Eroticism)
Software Pirating (Warez, Cracking, Etc.)
Hacking or Phreaking
Illegal MP3 files
Any Illegal Activity Whatsoever
ValueClick constantly monitors host sites content to assure
compliance
Single Account: Any person, company, or affiliated group may
have only one account. Each account however may cover
multiple domains and websites. All activity will be consolidated
into one report.
Cancellation. We reserve the right to cancel host status at any
time effective immediately upon sending an electronic message to
the email address that you have provided.
Content Copyright. You guarantee that all content on your site
is legal to distribute and that you own or have the legal right to
use any and all copyrighted material.
Automatic Renewal. This contract shall be automatically
renewed for successive periods and may be canceled
immediately by either party at any time by notification in writing
via email.
Indemnification. Host agrees to indemnify and hold ValueClick
harmless from and against any and all claims, demands, liabilities,
expenses, losses, damages attorney fees arising from any and all
claims and lawsuits for libel, slander, copyright, and trademark
violation as well as all other claims resulting from host's or
advertiser's web pages.
Modifications. Valueclick reserves the right to change the host
terms and conditions at any time. You are responsible for
complying with any new rules posted here within 10 days of the
date changes are posted. Please contact

interpretation of any term set forth here. For special
circumstances, modifications to these rules may be made if
approved via e-mail from an authorized ValueClick
representative. Modification requests should be directed to
tech-support@valueclick.com.
Case of dispute. You agree to settle any dispute under this
agreement via binding arbitration in Santa Barbara, California.
